1. Acceptance of Terms
By creating an account, accessing, or using NexaVite's Services, you confirm that you are at least 18 years of age, have the legal authority to enter into these Terms on behalf of yourself or your organization, and agree to comply with all applicable laws and regulations. If you do not agree to these Terms, you must not use our Services.
2. Description of Services
NexaVite provides a cloud-based enterprise task and project management platform that enables organizations to plan, assign, track, and collaborate on work. Services include but are not limited to: task boards, sprint management, team communication (NexaConnect), analytics dashboards, role-based access controls, and AI-assisted task intelligence. Features available to you depend on your organization's subscription plan.
3. Account Registration & Security
You must register for an account to access most features of our Services. You agree to:
- Provide accurate, current, and complete registration information
- Maintain the confidentiality of your login credentials
- Notify NexaVite immediately of any unauthorized access or security breach
- Be responsible for all activities that occur under your account
NexaVite reserves the right to suspend or terminate accounts found in violation of these Terms or engaged in fraudulent activity.
4. Organizational Accounts & User Roles
NexaVite operates on a multi-tenant model. An organization ("Workspace") is created and managed by a Company Administrator. The Company Admin is responsible for inviting members, assigning roles, managing billing, and enforcing internal usage policies. NexaVite is not responsible for decisions made by Company Admins regarding member access or data visibility within a Workspace.
5. Subscription Plans & Billing
NexaVite offers tiered subscription plans (Starter, Professional, Enterprise) with varying feature sets. By subscribing to a paid plan, you authorize NexaVite to charge the payment method on file on a recurring basis. All fees are:
- Non-refundable except as required by applicable law or stated in our Refund Policy
- Subject to change with 30 days prior notice
- Exclusive of applicable taxes, which are your responsibility
Failure to pay may result in service suspension. Downgrade of a plan takes effect at the end of the current billing cycle.
6. Acceptable Use Policy
You agree not to use the Services to:
- Upload, transmit, or share content that is unlawful, harmful, abusive, or infringes third-party rights
- Attempt to gain unauthorized access to other accounts, systems, or networks
- Reverse engineer, decompile, or extract source code from NexaVite software
- Use automated tools (bots, scrapers) to access the platform without prior written consent
- Resell, sublicense, or commercially exploit the Services without authorization
- Engage in any activity that disrupts or degrades platform performance for other users
Violation of this policy may result in immediate account termination without notice or refund.
7. Intellectual Property
NexaVite and its licensors retain all right, title, and interest in the Services, including all software, design, trademarks, and content created by NexaVite. You are granted a limited, non-exclusive, non-transferable license to use the Services solely for your internal business purposes. You retain ownership of all data, content, and materials you upload to the platform ("Customer Data").
8. Data & Privacy
Your use of the Services is also governed by our
Privacy Policy, which is incorporated into these Terms by reference. NexaVite processes Customer Data as a data processor on your behalf. You remain the data controller and are responsible for ensuring your use of the Services complies with applicable data protection laws, including GDPR and applicable local regulations.
9. Service Availability & SLA
NexaVite targets 99.9% monthly uptime for paid plans, as detailed in our Service Level Agreement (SLA). Scheduled maintenance windows will be communicated in advance. NexaVite is not liable for downtime caused by third-party services, force majeure events, or actions attributable to the customer. Credits for SLA breaches, where applicable, are the sole and exclusive remedy for service unavailability.
10. Limitation of Liability
To the maximum extent permitted by law, NexaVite shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to your use of the Services, even if advised of the possibility of such damages. NexaVite's total aggregate liability shall not exceed the amounts paid by you for the Services in the twelve (12) months preceding the claim.
11. Termination
Either party may terminate the agreement at any time. Upon termination, your access to the Services will cease. You may export your Customer Data prior to termination. NexaVite will retain Customer Data for 30 days post-termination, after which it may be permanently deleted. Sections relating to intellectual property, limitation of liability, and dispute resolution survive termination.
12. Changes to Terms
NexaVite reserves the right to update these Terms at any time. Material changes will be communicated via email or in-app notice at least 15 days in advance. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.
13. Governing Law & Disputes
These Terms are governed by the laws of India, without regard to conflict of law principles. Any dispute arising under these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in accordance with applicable rules. Class action waiver: you agree to resolve disputes individually, not as part of a class action.
